Welcome to SMIO Beauty Equipment Mall (“SMIO,” “we,” “our,” or “us”). By accessing or using our website at smio.shop (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please discontinue use of the Site.

1. Service Description

SMIO operates a B2B e-commerce platform specializing in professional beauty and aesthetic equipment. Our Site provides product information, reference pricing, and inquiry channels to facilitate business-to-business transactions. We are a manufacturer and trading company with operations in Malaysia, Hong Kong SAR, and Guangzhou, China.

The Site is not intended for end consumers. By using our services, you represent that you are at least 18 years of age and are acting in a business capacity or as an authorized representative of a business.

2. Inquiry and Quotation Process

SMIO operates on an inquiry-based sales model. The process typically follows these steps:

1. Product browsing: Explore our catalog. Reference prices and configurations are displayed for indication only.
2. Inquiry submission: Use the inquiry form, WhatsApp, or email to request a formal quotation.
3. Quotation issuance: Our sales team reviews your configuration, destination, and quantity, then issues a formal quotation (Proforma Invoice) with final pricing.
4. Quotation approval: You review the quotation and confirm acceptance in writing.
5. Order processing: Upon receipt of payment and/or deposit, we begin production or arrange shipment from stock.
6. Shipment & delivery: Goods are shipped per the agreed Incoterms. See our Shipping & Warranty Policy.

3. Pricing

All prices displayed on the Site are reference prices only and do not constitute a binding offer. Reference prices are derived from our Alibaba international storefront listings and adjusted for online display. Final pricing depends on:

• Order quantity (volume discounts apply);
• Product configuration and customization;
• Shipping method, destination, and Incoterms;
• Applicable taxes, duties, and customs fees;
• Currency exchange rates at the time of quotation.

4. Payment Methods

Current payment methods (in effect): At this time, online payment through the Site is not enabled. All transactions are processed offline through the following methods:

• Bank wire transfer (T/T) — most common;
• Western Union (for sample orders below USD 3,000);
• PayPal (for sample orders only, subject to 4% processing fee);
• Letter of Credit (L/C) — minimum order USD 30,000, irrevocable at sight.

Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment (by T/T). Sample orders may require 100% prepayment. Customized OEM/ODM orders may require 50% deposit.

5. Order Acceptance and Cancellation

All orders are subject to written acceptance by SMIO. SMIO reserves the right to refuse or cancel any order at its sole discretion, including but not limited to cases of suspected fraud, payment default, force majeure, or unavailability of materials. Cancellations by the customer are only accepted before production begins and may be subject to a restocking fee of 15% of the order value for stock items. Customized orders cannot be cancelled once production has started.

6. Intellectual Property

All content on the Site, including but not limited to product designs, images, descriptions, trademarks, logos, software, and documentation, is the property of SMIO or its licensors and is protected by international intellectual property laws. You may not:

• Copy, modify, distribute, or create derivative works of any Site content without prior written consent;
• Use SMIO trademarks, logos, or product images for any commercial purpose other than reselling genuine SMIO products;
• Scrape, index, or otherwise systematically extract data from the Site;
• Reverse engineer or attempt to identify the underlying technology of the Site.

SMIO product names, model numbers, and brand identifiers are trademarks of SMIO. All other trademarks referenced on the Site belong to their respective owners.

7. Product Information Accuracy

We make every effort to ensure product information on the Site is accurate and up-to-date. However, due to continuous product improvement, specifications, configurations, and appearances may change without notice. We are not liable for typographical errors, omissions, or inaccuracies. The final product specifications shall be those confirmed in the formal Proforma Invoice.

8. Compliance with Laws

You are responsible for ensuring that your purchase, import, and use of SMIO products comply with all applicable laws and regulations in your country, including but not limited to product certification, customs, electrical safety, and medical device regulations. SMIO products are designed for professional use only. You are responsible for verifying that the product is suitable for your intended use and is legally permitted in your jurisdiction.

9. Warranty and After-Sales

SMIO products come with a 12-month limited warranty from the date of shipment. For warranty coverage, scope, and after-sales service details, please refer to our Shipping & Warranty Policy.

10. Limitation of Liability

To the maximum extent permitted by law, SMIO, its directors, employees, affiliates, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or cost of substitute goods, arising out of or in connection with the Site or any product purchased from us, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid for the product(s) giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless SMIO and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your violation of these Terms, your infringement of third-party rights, or your breach of applicable laws.

12. Force Majeure

SMIO shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, epidemics, government actions, labor disputes, supply chain disruptions, transportation failures, and internet or telecommunications outages.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If unresolved within 60 days, the dispute shall be submitted to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The award shall be final and binding on both parties.

14. Changes to These Terms

We may revise these Terms at any time. The updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Site after the changes become effective constitutes acceptance of the revised Terms.
